UNAFFILIATED ENDORSER DISCLOSURE STATEMENT TO PROSPECTIVE CLIENT
(Pursuant to SEC Rule 206(4)-1)
Client’s financial institution (“Endorser”), is compensated to endorse (e.g., provide a statement of approval, support or recommendation of Advisor; solicit prospective clients on behalf of Advisor; or refer prospective clients to Advisor) Unifimoney RIA QOZB, LLC (“Advisor”). All references to Endorser in this Disclosure Statement will include Endorser’s associates, if applicable.
1. Written Agreement. Endorser and Advisor have entered into a written agreement whereby Endorser will solicit and refer as client to Advisor those individuals or entities that it believes are suitable and appropriate for the investment advisory services provided by Advisor, in exchange for compensation (as described below).
2. Status of Endorser. Endorser is not an investment advisory client of Advisor. Endorser is not an employee or investment adviser representative of Advisor. Endorser and Advisor are independent parties under separate ownership and control.
3. Compensation. Advisor compensates Endorser for referrals under terms outlined in a separate agreement between the parties. The compensation may vary depending on the type of services provided by Advisor and other agreed-upon factors. Specific details of compensation, including any percentage of advisory fees or other remuneration, are disclosed in a separate agreement between Advisor and Endorser.
4. Conflicts of Interest. Endorser has the following material conflicts of interest related to the endorsement of Advisor:
(a) If Endorser is an RIA, a prospective client is referred to the conflicts of interest disclosed in Endorser’s Form ADV Part 2B.
(b) Unifimoney, Inc. (“Unifimoney”), is an affiliate of Advisor. Unifimoney is a vendor to Endorser providing a web-based platform with application programming interfaces that permit digital banking end users access to a suite of wealth management solutions, and Endorser is a customer of Advisor utilizing the services of Advisor. As a result of the customer relationship with Unifimoney, Endorser has an incentive to refer prospective clients to Advisor and/or make statements recommending the advisory services of Advisor. This biases the objectivity of Endorser and creates a conflict of interest for Endorser. A prospective client is under no obligation to utilize the investment advisory services of Advisor, and the prospective client should conduct his or her own due diligence before engaging Advisor.
(c) Due to the compensation received by Endorser from Advisor, Endorser has an economic incentive to refer a prospective client to Advisor or make a recommendation of Advisor, which biases the objectivity of Endorser. This is a conflict of interest for Endorser. A prospective client is under no obligation to utilize the investment advisory services of Advisor, and the prospective client should conduct his or her own due diligence before engaging Advisor.
(d) Advisor may periodically refer prospective clients to Endorser and/or recommend that client utilize the services of Endorser. These referrals by and/or recommendations from Advisor may create an incentive for Endorser to make reciprocal referrals to Advisor and recommendations of Advisor. This may bias the objectivity of Endorser and create a conflict of interest for Endorser when referring a prospective client to Advisor or making a recommendation of Advisor. A prospective client is under no obligation to utilize the investment advisory services of Advisor, and the prospective client should conduct his or her own due diligence before engaging Advisor.
(e) Advisor may pay Endorser an endorsement fee which is higher than other investment advisers. This may create an incentive for Endorser to refer prospective clients to Advisor or make recommendations of Advisor instead of other investment advisers. This may bias objectivity of Endorser and create a conflict of interest of Endorser. A prospective client is under no obligation to utilize the investment advisory services of Advisor, and the prospective client should conduct his or her own due diligence before engaging Advisor.
5. Acknowledgement of Other Investment Advisory Programs. Although there are numerous different third‐party investment advisory firms, Endorser has entered into a relationship with Advisor. Client acknowledges that there may be other third‐party investment advisory programs not recommended by Endorser that are suitable for Client and may be less costly than Advisor.
6. No Authority. Endorser does not have authority to accept an investment advisory agreement on behalf of Advisor or to collect or receive payment in its own name for any investment advisory services of Advisor. All investment advisory agreements with Advisor are subject to acceptance by Advisor. Endorser is not authorized to provide investment advice or manage investments on behalf of or through Advisor.
Acknowledgement of Receipt of Disclosures and Documents:
By acknowledging during onboarding, the client confirms receipt of this UNAFFILIATED ENDORSER DISCLOSURE STATEMENT TO PROSPECTIVE CLIENT, including all disclosures recited above, as well as a copy of the Advisor’s Form ADV Part 2.
The client further acknowledges that this acknowledgment does not constitute an agreement to receive investment advisory services. Such services are only available pursuant to a separate agreement directly with the Advisor.
